ANNOUNCEMENT OF PROFESSIONAL BUSINESS TRANSFER

Regarding the recent announcement by Shiseido Company Ltd. ("Shiseido"), we would like to inform you accordingly that the Professional Business will be transferred to Henkel AG & Co. KGaA (headquartered in Düsseldorf, Germany, “Henkel”). Shiseido will retain 20% of Shiseido Professional Inc. (“SPI”), the future company which fuses the global professional headquarter and Japan local sales organization under one entity. The oversea business will be transferred to Henkel Group’s respective local organizations.
Also, our dedicated employees for professional business will at the same time transfer to Henkel’s local entities, while our key interest remains in protecting our people and their continued employment.
Shiseido further supports the future growth of Shiseido professional business with licensing agreement for continued brand usage of “Shiseido Professional” and strong collaboration with Henkel. Henkel operates globally in the beauty care business with focus on the professional hair business, a strong presence in Europe and USA and a clear growth ambition in Asia. For Shiseido Professional with key focus on Japan and Asia, Henkel is the right business partner who will enable to deliver greater value for all stakeholders.
Leveraging scale and strengthening R&D capabilities under Henkel will boost the competitive edge of Shiseido Professional brand in Asian markets, especially in Japan. For our valued customers and business partners, we would like to ensure that we continue to provide best quality products and services together with Henkel. We will maintain our operations and business relationship with you:

• Our Professional Business vision, mission and commitment to our business partners, beauty creators and customers remain the same.
• The terms & conditions for all contracts with our dealers, suppliers, agencies and other business partners remain unchanged.
• Production and quality assurance policy remain unchanged and ensure stable supply
• The brand name and logo usage of “Shiseido Professional” will be continued.
• Intellectual properties and other assets exclusive to professional business will be kept
• Shiseido will continue to provide certain business services to ensure smooth transition of professional business to Henkel
